StuDex – Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the StuDex mobile applications and website (collectively, the "Service") operated by Futurekind Technologies Limited ("Futurekind", "we", "our", or "us"). Please read them carefully. By creating an account, accessing, or using the Service you agree to be bound by these Terms and all policies referenced herein. If you do not agree, you must not use the Service.


1. Eligibility

1.1 Student Accounts. You must be (a) at least 18 years old, and (b) currently enrolled at, or otherwise affiliated with, a UK higher‑education institution and able to verify a valid “.ac.uk” email address.

1.2 Business Partner Accounts. Businesses may apply for a verified account subject to additional vetting and any partner agreement we require.

1.3 Location. The Service is intended for use in the United Kingdom. You are responsible for complying with all local laws that apply to you.


2. Your Account

2.1 You must keep your credentials confidential and are responsible for all activity that occurs under your account.

2.2 You agree to provide accurate, current, and complete information and to update it as necessary.

2.3 We may suspend, restrict, or terminate your account if we reasonably believe you have breached these Terms or applicable law.


3. Content & Conduct

3.1 User‑Generated Content. "Content" includes activities, event descriptions, images, reviews, comments, and any material you submit. You retain ownership of your Content but grant Futurekind a worldwide, non‑exclusive, royalty‑free, transferable licence to host, store, reproduce, adapt, publish, and distribute it for the purpose of operating and improving the Service.

3.2 Prohibited Content. You must not post Content that is unlawful, defamatory, obscene, hateful, harassing, or infringes intellectual‑property or privacy rights. We reserve the right (but have no obligation) to remove Content or suspend accounts at our discretion.

3.3 Circles & Messaging. Private groups and messages are subject to these same rules. Report abuse via the in‑app tools or at support@studexapp.com.


4. Points, Rewards & Promotions

4.1 Points System. StuDex may award points for certain actions (e.g., creating activities or posting reviews). Points have no cash value and may not be transferred or exchanged except as expressly permitted.

4.2 Promotional Offers. From time to time we may offer promotions—such as referral bonuses, cashback, discounts, or limited‑time competitions—("Promotions"). Promotions may be targeted to specific users and may be subject to supplemental promotional terms that will be made available at the time of the offer. If supplemental terms conflict with these Terms, the supplemental terms govern solely with respect to that Promotion.

4.3 Modification & Termination of Promotions. We reserve the right to modify, suspend, or cancel any Promotion, points programme, or rewards scheme at any time and for any reason, including to correct errors or prevent abuse.

4.4 Tax. You are solely responsible for any tax consequences arising from your participation in a Promotion or redemption of rewards.


5. Business Partner Content & Transactions

5.1 Verified business partners may post promotional events and discounts. Any transaction between you and a business partner is solely between you and that partner. Futurekind is not a party to such transactions and accepts no liability for goods or services provided by partners.


6. Licence & Intellectual Property

6.1 Futurekind grants you a personal, non‑exclusive, revocable, non‑transferable licence to use the Service for its intended purpose, subject to these Terms.

6.2 All intellectual‑property rights in the Service and its content (excluding user Content) are owned by Futurekind or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service without our written consent.


7. Disclaimers & Limitation of Liability

7.1 The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted or error‑free, or that any Content (including promotions and discounts) is accurate or available.

7.2 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited or excluded under law.

7.3 Subject to 7.2, Futurekind will not be liable for: (a) indirect, consequential, exemplary, or punitive damages; or (b) loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service, whether in contract, tort (including negligence), or otherwise—even if foreseeable and even if we have been advised of the possibility of such damages.

7.4 Our total liability to you for all claims arising from or relating to the Service is limited to the greater of (i) £100 or (ii) the amount you have paid (if any) to use paid features of the Service in the 12 months preceding the claim.


8. Indemnity

You agree to indemnify and hold harmless Futurekind, its directors, officers, employees, and affiliates from any claim or demand (including reasonable legal fees) arising out of or related to your use of the Service, your Content, or your breach of these Terms.


9. Suspension & Termination

We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, applicable law, or pose a risk to other users. On termination, all licences granted to you end. Sections 4 (where applicable), 6, 7, 8, 11, and 12 will survive termination.


10. Changes to the Service & to These Terms

We may change or discontinue any part of the Service at any time. We may also amend these Terms. We will give at least 14 days’ notice of any material change by posting the updated Terms in‑app or emailing your registered address. Continued use after the effective date constitutes acceptance of the revised Terms.


11. Governing Law & Jurisdiction

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, although you may also bring proceedings in your local UK jurisdiction.


12. Alternative Dispute Resolution

If you are a consumer and have a complaint, you may refer it to an Alternative Dispute Resolution (ADR) provider. We are not obliged to participate but will consider reasonable requests.


13. General

13.1 Entire Agreement. These Terms constitute the entire agreement between you and Futurekind and supersede all prior agreements relating to the Service.

13.2 Assignment. You may not assign or transfer your rights under these Terms; we may assign them without restriction.

13.3 Severability. If any provision is held invalid, the remaining provisions remain in full force.

13.4 Waiver. Failure to enforce any provision is not a waiver of that provision.
