StuDex – Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the StuDex mobile applications and website (collectively, the “Service”) operated by Futurekind Technologies Limited (“Futurekind”, “we”, “our”, or “us”). By creating an account, accessing, or using the Service you agree to be bound by these Terms and all policies referenced herein. If you do not agree, you must not use the Service. These Terms apply to all users of the Service, including students (“Student Users”) and businesses that list promotions or offers through the Service (“Business Partners”). Provisions that apply only to one category are clearly marked.

1. Eligibility

1.1 Student Accounts. You must be (a) at least 18 years old, and (b) currently enrolled at, or otherwise affiliated with, a UK higher-education institution and able to verify a valid “.ac.uk” email address.

1.2 Business Partner Accounts. Businesses may apply for a Business Partner account. By applying, the business confirms that it: (a) is a legal entity or sole trader validly registered and operating in the United Kingdom; (b) holds all licences, permits, and authorisations required to sell the goods or services it intends to promote; and (c) will provide accurate and up-to-date business information, including its registered trading name, registered address, and a valid contact email address.

1.3 Additional Partner Terms. In certain cases, Futurekind and a Business Partner may enter into a separate written agreement governing specific commercial arrangements (“Partner Agreement”). Where a Partner Agreement exists and conflicts with these Terms, the Partner Agreement will prevail to the extent of the conflict. A Partner Agreement is not required to use the Service as a Business Partner.

1.4 Location. The Service is intended for use in the United Kingdom. You are responsible for complying with all local laws that apply to you.

2. Your Account

2.1 You must keep your credentials confidential and are responsible for all activity that occurs under your account.

2.2 You agree to provide accurate, current, and complete information and to update it as necessary.

2.3 We may suspend, restrict, or terminate your account if we reasonably believe you have breached these Terms or applicable law.

3. Content & Conduct

3.1 User-Generated Content. “Content” includes activities, event descriptions, images, reviews, comments, and any material you submit. You retain ownership of your Content but grant Futurekind a worldwide, non-exclusive, royalty-free, transferable licence to host, store, reproduce, adapt, publish, and distribute it for the purpose of operating and improving the Service.

3.2 Prohibited Content. You must not post Content that is unlawful, defamatory, obscene, hateful, harassing, or infringes intellectual-property or privacy rights. We reserve the right (but have no obligation) to remove Content or suspend accounts at our discretion.

3.3 Circles & Messaging. Private groups and messages are subject to these same rules. Report abuse via the in-app tools or at support@studexapp.com.

4. Points, Rewards & Promotions

4.1 Points System. StuDex may award points for certain actions (e.g., creating activities or posting reviews). Points have no cash value and may not be transferred or exchanged except as expressly permitted.

4.2 Promotional Offers. From time to time we may offer promotions – such as referral bonuses, cashback, discounts, or limited-time competitions – (“Promotions”). Promotions may be targeted to specific users and may be subject to supplemental promotional terms that will be made available at the time of the offer. If supplemental terms conflict with these Terms, the supplemental terms govern solely with respect to that Promotion.

4.3 Business Partner Promotions. Business Partners may list their own promotional offers, discounts, or deals through the Service (“Business Promotions”). Business Partners are solely responsible for: (a) ensuring that any Business Promotion they list is accurate, not misleading, and capable of being honoured; (b) complying with all applicable laws and regulations, including the Consumer Protection from Unfair Trading Regulations 2008, the Consumer Rights Act 2015, and the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code); and (c) fulfilling the terms of any Business Promotion redeemed by a Student User.

4.4 Modification & Termination of Promotions. We reserve the right to modify, suspend, or cancel any Promotion, Business Promotion listing, points programme, or rewards scheme at any time and for any reason, including to correct errors, prevent abuse, or remove offers we reasonably consider to be misleading or inappropriate. 4.5 Tax. You are solely responsible for any tax consequences arising from your participation in a Promotion or redemption of rewards.

5. Business Partner Content & Transactions

5.1 Listing Content. Business Partners may post promotional events, discounts, and offers through the Service. By posting, the Business Partner grants Futurekind a non-exclusive, royalty-free licence to display, reproduce, and distribute its trading name, logos, branding, and promotional content within the Service and in related marketing materials for the purpose of operating the Service.

5.2 Accuracy & Compliance. Business Partners must ensure that all listings and promotional content are accurate, up to date, and not misleading. Expired, inaccurate, or unfulfillable offers must be promptly removed or updated by the Business Partner. Futurekind reserves the right to remove, edit, or refuse any Business Partner listing or content at its sole discretion and without prior notice, including where content is misleading, inappropriate, receives complaints, or otherwise breaches these Terms.

5.3 Transactions Between Users and Business Partners. Any transaction between a Student User and a Business Partner is solely between those parties. Futurekind is not a party to such transactions, does not endorse any Business Partner or their goods or services, and accepts no liability for goods, services, or experiences provided (or not provided) by Business Partners.

5.4 No Guarantee of Exposure. Futurekind does not guarantee any particular level of visibility, user engagement, redemptions, footfall, or commercial results from a Business Partner’s presence on the Service. Listing placement, order, and prominence may vary and are determined at Futurekind’s discretion.

5.5 Data & Analytics. Futurekind may share aggregated or anonymised engagement data with Business Partners (e.g., number of views or redemptions). Any sharing of data is subject to our Privacy Policy. Futurekind will not share personally identifiable Student User data with Business Partners without the relevant user’s consent.

6. Licence & Intellectual Property

6.1 Futurekind grants you a personal, non-exclusive, revocable, non-transferable licence to use the Service for its intended purpose, subject to these Terms.

6.2 All intellectual-property rights in the Service and its content (excluding user Content and Business Partner branding) are owned by Futurekind or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service without our written consent.

7. Disclaimers & Limitation of Liability

7.1 The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted or error-free, or that any Content (including promotions and discounts) is accurate or available.

7.2 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited or excluded under law.

7.3 Subject to 7.2, Futurekind will not be liable for: (a) indirect, consequential, exemplary, or punitive damages; or (b) loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service, whether in contract, tort (including negligence), or otherwise – even if foreseeable and even if we have been advised of the possibility of such damages.

7.4 Our total liability to you for all claims arising from or relating to the Service is limited to the greater of (i) £100 or (ii) the amount you have paid (if any) to use paid features of the Service in the 12 months preceding the claim.

8. Indemnity

8.1 General Indemnity. You agree to indemnify and hold harmless Futurekind, its directors, officers, employees, and affiliates from any claim or demand (including reasonable legal fees) arising out of or related to your use of the Service, your Content, or your breach of these Terms.

8.2 Business Partner Indemnity. Business Partners additionally agree to indemnify and hold harmless Futurekind from any claim, loss, or demand (including reasonable legal fees) arising out of or related to: (a) any Business Promotion listed by that Business Partner, including claims by Student Users or third parties relating to the accuracy, availability, quality, or fulfilment of such offers; (b) any goods or services provided (or not provided) by the Business Partner; and (c) any breach of applicable consumer-protection, advertising, or trading-standards laws by the Business Partner.

9. Suspension & Termination

9.1 We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, applicable law, or pose a risk to other users.

9.2 A Business Partner may request removal of its listings and closure of its account by emailing support@studexapp.com. Any Business Promotions already redeemed or in the process of redemption must still be honoured by the Business Partner.

9.3 On termination, all licences granted to you end. Sections 4.3 (where obligations remain outstanding), 5, 6, 7, 8, 11, and 12 will survive termination.

10. Changes to the Service & to These Terms

We may change or discontinue any part of the Service at any time. We may also amend these Terms. We will give at least 14 days’ notice of any material change by posting the updated Terms in-app or emailing your registered address. Continued use after the effective date constitutes acceptance of the revised Terms.

11. Governing Law & Jurisdiction

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, although you may also bring proceedings in your local UK jurisdiction.

12. Alternative Dispute Resolution

If you are a consumer and have a complaint, you may refer it to an Alternative Dispute Resolution (ADR) provider. We are not obliged to participate but will consider reasonable requests.

13. General

13.1 Entire Agreement. These Terms (together with any Partner Agreement, if applicable) constitute the entire agreement between you and Futurekind and supersede all prior agreements relating to the Service.

13.2 Assignment. You may not assign or transfer your rights under these Terms; we may assign them without restriction. 13.3 Severability. If any provision is held invalid, the remaining provisions remain in full force.

13.4 Waiver. Failure to enforce any provision is not a waiver of that provision.
